These Terms & Conditions ("Terms") govern your access to and use of the KeeHome website, mobile application, platform, software, communication tools and related services (collectively, the "Platform") operated by KEEHOME REAL ESTATE PRIVATE LIMITED, having its registered office at  C-18, SHRI LAXMIDEEP CO OP, H SOC LTD NR. BALOL NAGAR, Ranip, Ahmadabad City, Ahmedabad- 382480, Gujarat ("KeeHome", "we", "us" or "our").

By registering for, accessing, browsing or using the Platform, you ("User", "you or "your") acknowledge that you have read, understood and agreed to be bound by these Terms, our Privacy Policy and any other policies or guidelines displayed on the Platform.

If you do not agree to these Terms, you must not access or use the Platform.

1. DEFINITIONS

1. "Platform" means the KeeHome website, mobile application, software, digital services, communication facilities and related technology.

2. "User" means any person who accesses or uses the Platform, including buyers, sellers, landlords, tenants, brokers, agents, property owners, builders, developers and other users.

3. "Property Owner" means a person claiming ownership, possession or lawful authority in respect of a property.

4. "Buyer" means a person seeking to purchase a property.

5. "Seller" means a person offering a property for sale.

6. "Landlord" means a person offering a property for lease or rent.

7. "Tenant" means a person seeking to rent or lease a property.

8. "Broker/Agent" means a real-estate broker, agent, intermediary or representative using the Platform.

9. "Builder/Developer" means a builder, promoter or real-estate developer using the Platform.

10. "Listing" means any property advertisement, property information, photograph, video, description, price, location, availability or other content submitted by a User.

11. "Content" means text, photographs, videos, documents, graphics, messages, listings and other material uploaded, transmitted or displayed through the Platform.

12. "Subscription Plan" means any paid plan purchased by a User to access specified Platform features.

2. NATURE OF PLATFORM

   1. It is a technology-based communication and facilitation platform intended to help Users discover properties, publish listings, communicate with other Users and exchange information relating to potential property transactions.

   2. KeeHome does not act as a buyer or seller of any property; a landlord or tenant; a real-estate owner; a broker or real-estate agent for any User; a legal representative of any User; an attorney or authorised representative of any party; an escrow agent; a payment intermediary; a trustee or custodian of transaction funds; a contracting party to any property transaction; or a party to any sale, purchase, lease, licence or other property agreement.

   3. KeeHome does not take custody, possession or control of token money, earnest money, security deposits, sale consideration, rent, brokerage, commission or any other transaction-related funds between Users.

   4. KeeHome does not negotiate, conclude, execute, witness or enforce agreements between Users.

   5. Any sale, purchase, lease, licence, tenancy, transfer, payment, possession, registration, handover or other transaction is undertaken directly between the relevant parties.

   6. Use of the Platform does not create an agency, partnership, joint venture, fiduciary relationship, employment relationship or representative relationship between KeeHome and any User.

3. USER REGISTRATION AND ACCOUNT

   1. Users will be required to register for an account to access certain Platform features. During registration, KeeHome may collect information including: full name; mobile/phone number; date of birth; email address, where applicable; account credentials; user category; and other information reasonably required for account administration and verification.

   2. Brokers, agents and builders/developers may additionally be required to provide information including: RERA registration number, where applicable; agency name; company name; professional/business details; and other information reasonably required by KeeHome.

   3. Users are responsible for providing accurate, complete and current information. A User must not: create an account using another person's identity; impersonate another person or organisation; provide false or misleading information; use another User's account without authorisation; or create multiple accounts for fraudulent or abusive purposes.

   4. Users are responsible for maintaining the confidentiality of their login credentials and for activities conducted through their account.

   5. KeeHome may suspend, restrict or terminate an account where it reasonably believes that the account information is false, fraudulent, misleading, unlawful or in breach of these Terms.

4. IDENTITY VERIFICATION

   1. KeeHome may require identity verification before a User is permitted to create, publish or submit a property listing, request or post.

   2. Where Aadhaar-based identity verification is used, such verification shall be conducted through an appropriate verification process or authorised service provider, subject to applicable law and the Platform's Privacy Policy.

   3. Identity verification by KeeHome confirms only that the User has completed the applicable verification process. It does not constitute a guarantee of: ownership of a property; authority to sell, lease or advertise a property; financial capacity; creditworthiness; professional competence; title validity; absence of criminal history; absence of litigation; or accuracy of information supplied by the User.

   4. KeeHome may request additional information or documents where reasonably necessary for verification, fraud prevention, security or legal compliance.

   5. KeeHome does not conduct credit screening, police verification or comprehensive background investigations of Users unless expressly stated otherwise.

5. BROKERS, AGENTS AND BUILDERS

   1. Brokers, agents and builders/developers are responsible for complying with all applicable laws, regulations and professional requirements applicable to their activities.

   2. Where a broker, agent or builder is required to possess a valid RERA registration, the User must provide the relevant RERA registration number during onboarding.

   3. KeeHome does not require or represent that it independently verifies every licence, registration, certificate, authorisation or professional qualification of every User.

   4. Submission of a RERA registration number to KeeHome does not constitute certification, endorsement or guarantee by KeeHome of that User or its activities.

   5. Users must not represent themselves as brokers, agents, builders, developers or other professionals unless they are legally entitled to do so.

   6. Brokers, agents and builders are solely responsible for ensuring that they have the necessary authority and permissions to advertise or represent any property.

6. PROPERTY LISTINGS

   1. Users may publish property listings subject to these Terms and applicable Platform requirements.

   2. The User submitting a Listing is solely responsible for the accuracy, completeness and legality of the Listing.

   3. A Listing may include information such as: property address/location; property type; area and measurements; ownership or possession information; asking price; rent; photographs and videos; amenities; availability; property status; project information; RERA information; contact information; and other property-related information.

   4. KeeHome does not guarantee or independently verify: ownership or title; encumbrances; possession; property measurements; carpet/built-up/super built-up area; zoning; land-use permissions; approvals; construction quality; structural condition; occupancy status; RERA compliance; tax status; litigation status; development permissions; environmental compliance; property valuation; or any other representation made by a User.

   5. Users must independently verify all material property information before entering into a transaction.

   6. KeeHome may remove, modify, suspend or reject a Listing if it reasonably believes that the Listing: violates these Terms; contains false, misleading or fraudulent information; infringes third-party rights; is unlawful; creates a security or safety concern; or otherwise presents a material risk to the Platform or its Users.

7. NON-EXCLUSIVITY OF LISTINGS

   1. KeeHome does not require property Listings to be exclusive. Multiple brokers, agents or other authorized persons may submit Listings relating to the same property.

   2. KeeHome does not guarantee that only one broker or User will advertise a particular property.

   3. Each User is responsible for ensuring that it has the necessary authority or permission to advertise the relevant property.

   4. Disputes concerning duplicate Listings, brokerage rights, mandates, commission entitlement, referral fees or competing representations shall be resolved directly between the relevant parties.

8. BROKER AUTHORITY AND MANDATES

   1. Brokers and agents are responsible for obtaining any mandate, authority, consent or permission required from the Seller, Landlord, Property Owner or other relevant party.

   2. KeeHome does not require a broker to submit a written mandate to KeeHome unless expressly requested for a particular compliance or verification purpose.

   3. KeeHome is not responsible for determining whether a broker has valid authority to represent a property.

   4. Users must independently verify the authority of any broker or representative before relying upon their statements or entering into a transaction.

   5. KeeHome does not negotiate or finalise commercial terms on behalf of any broker, Seller, Landlord, Buyer or Tenant.

9. COMMUNICATION BETWEEN USERS

   1. KeeHome may provide communication tools that allow Users to contact, message or otherwise communicate with one another.

   2. Communications through the Platform are communications between the relevant Users and do not constitute communications made by KeeHome as a representative of either party.

   3. KeeHome does not guarantee: that a User will respond; that information supplied by a User is accurate; that a User will complete a transaction; that a property will remain available; that a price will remain unchanged; or that any communication will result in a transaction.

   4. Users are solely responsible for evaluating the information received from other Users.

   5. Users must exercise appropriate caution when communicating with persons they have not previously met.

10. NO FORMAL PURCHASE OFFER THROUGH KEEHOME

    1. KeeHome does not provide a formal offer-making, acceptance or contract-execution facility for property purchases.

    2. A message, enquiry, expression of interest, proposed price or other communication made through the Platform does not automatically constitute a legally binding purchase offer or agreement.

    3. Any binding purchase commitment shall arise only if and when the relevant parties enter into an appropriate legally enforceable agreement or deed.

    4. Buyers and Sellers are solely responsible for obtaining appropriate legal advice and completing all documentation required for their transaction.

11. NEGOTIATIONS AND TRANSACTION TERMS

    1. All negotiations concerning: purchase price; rent; security deposit; token money; earnest money; brokerage; commission; possession; lease duration; lock-in period; maintenance; repairs; handover; sale conditions; lease conditions; and other commercial or legal terms are conducted directly between the relevant parties. KeeHome does not determine or guarantee the final terms agreed between Users.

    2. KeeHome is not responsible for any statement, promise, representation or commitment made by one User to another.

12. PAYMENTS AND ESCROW

    1. KeeHome does not receive, hold, transfer or escrow transaction-related funds between Users.

    2. KeeHome does not process: token money; earnest money; sale consideration; rent; security deposits; booking amounts; brokerage; commission; or other property transaction payments on behalf of Users.

    3. Users must exercise their own judgment and obtain appropriate professional advice before transferring money to another User.

    4. KeeHome shall not be responsible for losses arising from payments made directly between Users.

    5. Any payment for a KeeHome Subscription Plan is separate from property transaction payments and is governed by the applicable subscription terms.

13. PROPERTY DUE DILIGENCE

    1. KeeHome does not prescribe a specific inspection or due diligence period for a property transaction.

    2. Buyers, Tenants and other prospective counterparties are responsible for conducting appropriate due diligence before entering into any transaction.

    3. Depending on the transaction, due diligence may include verification of: title; ownership; encumbrances; approvals; sanctioned plans; RERA registration; zoning; land use; measurements; structural condition; taxes; utilities; litigation; possession; society/association records; outstanding dues; and other relevant matters. Users should obtain independent legal, technical, financial and other professional advice where appropriate.

    4. If defects, title issues, ownership disputes, structural issues or other concerns are identified, any resulting negotiation, price adjustment, withdrawal or other resolution shall be handled directly between the relevant parties.

14. SALE COMPLETION

    1. KeeHome does not determine when a property purchase is legally or commercially completed.

    2. KeeHome does not participate in: execution of an Agreement to Sell; payment of consideration; execution of a Sale Deed; registration; transfer of title; possession or handover; or any other completion event. Completion of a transaction is determined solely by the relevant parties and their professional advisers in accordance with applicable law and their agreements.

15. RENTAL AND LEASE TERMS

    1. KeeHome does not prescribe or standardise: lease duration; lock-in periods; notice periods; security deposits; rent; maintenance charges; renewal terms; possession dates; or other lease terms.

    2. Such terms are negotiated directly between the Landlord and Tenant. Any formal lease, leave-and-licence agreement or other occupancy agreement is entered into directly between the relevant parties. KeeHome does not determine when a rental transaction is legally or practically completed.

    3. Signing of the lease, payment of deposit or rent, and physical handover of keys are matters between the Landlord and Tenant.

16. IDENTITY, CREDIT AND BACKGROUND CHECKS

    1. KeeHome may perform identity verification as described in these Terms and the Privacy Policy. KeeHome does not ordinarily conduct credit checks, police verification or comprehensive background checks.

    2. Landlords, Tenants, Buyers, Sellers, brokers and other Users are responsible for conducting any additional verification they consider necessary or legally required. KeeHome does not guarantee the financial capacity, creditworthiness, criminal record, employment status, reputation or background of any User.

17. SUBSCRIPTION FEES

    1. KeeHome operates primarily on a subscription-based business model. Property owners, brokers, agents, builders/developers or other eligible Users may purchase Subscription Plans to access specified Platform features. Subscription fees are paid for access to the Platform and its features and are not: brokerage; mediation fees; success fees; commission; transaction fees; or fees calculated as a percentage of a property sale or rental value.

    2. Unless otherwise expressly stated in the applicable Subscription Plan, KeeHome does not charge Buyers or Tenants a transaction-based mediation fee merely for communicating with other Users. Subscription prices, features, duration, taxes and applicable payment terms shall be displayed at the time of purchase.

18. SUBSCRIPTION RENEWAL AND CANCELLATION

    1. Subscription Plans may be offered for specified periods. The applicable renewal, cancellation and refund terms shall be displayed during purchase or in the relevant Subscription Plan. Unless expressly stated otherwise, payment for a Subscription Plan does not depend upon whether the User successfully completes a property transaction.

    2. Termination or expiry of a Subscription does not affect contractual obligations that accrued before termination.

19. NO SUCCESS FEE OR TRANSACTION COMMISSION

    1. KeeHome does not charge a success fee or commission based on the completion or value of a property transaction.

    2. No mediation fee becomes earned merely because KeeHome introduces, connects or facilitates communication between Users. If Users introduced through KeeHome subsequently complete a transaction directly or outside the Platform, KeeHome does not claim a transaction commission or success fee solely on that basis.

20. NO OFF-PLATFORM TRANSACTION PENALTY

    1. KeeHome does not impose a transaction penalty merely because Users complete a property transaction outside the Platform. KeeHome does not audit Users for the purpose of recovering a transaction commission or success fee. Users remain responsible for complying with these Terms, including provisions relating to fraud, misuse, intellectual property, privacy, unlawful activity and other prohibited conduct.

21. BROKER COMMISSIONS AND COMMISSION DISPUTES

    1. KeeHome does not determine brokerage or commission arrangements between brokers. KeeHome does not mediate disputes concerning: commission sharing; referral fees; brokerage; co-broker arrangements; listing rights; selling rights; or compensation between brokers. Such arrangements are solely between the relevant brokers or parties. KeeHome is not responsible for enforcing or collecting any brokerage or commission allegedly owed between Users.

22. USER REPRESENTATIONS AND WARRANTIES

    1. Each User represents and warrants that: all information submitted by the User is accurate and not materially misleading; the User has the legal capacity and authority to use the Platform; the User has the necessary rights or permissions to upload any Listing or Content; the User will comply with applicable laws and regulations; the User will not use the Platform for fraudulent, deceptive or unlawful purposes; the User will not knowingly publish false property information; the User will not impersonate another person; the User will not use the Platform to unlawfully obtain money or personal information from another person; and the User will not interfere with the operation or security of the Platform.

23. PROHIBITED ACTIVITIES

    1. Users must not: publish fraudulent or misleading Listings; advertise property without necessary authority; impersonate another person; provide false identity information; use another person's account; engage in scams or fraudulent transactions; upload unlawful or infringing Content; harass, threaten or abuse another User; collect another User's personal information without lawful authority; distribute malware or malicious code; attempt unauthorised access to the Platform; interfere with Platform security; scrape or systematically extract Platform data without permission; manipulate reviews, Listings or Platform rankings; use the Platform for unlawful financial activities; publish discriminatory or unlawful advertisements; circumvent security or access controls; or otherwise misuse the Platform.

24. PROPERTY INFORMATION AND USER RESPONSIBILITY

    1. Every Listing is provided by the relevant User and not by KeeHome. KeeHome does not guarantee the accuracy, completeness, authenticity, legality or current status of Listings. Property prices, availability, dimensions, photographs, descriptions and other information may change without notice. Users must independently verify material information before relying upon it.

    2. Sellers, Landlords, brokers, agents and builders remain responsible for the accuracy and legality of property information submitted by them.

25. NO WARRANTY REGARDING PROPERTY

    1. To the maximum extent permitted by applicable law, KeeHome does not warrant or represent that any property: has valid title; is free from encumbrances; has the advertised area; has the advertised construction quality; has the stated approvals; complies with zoning requirements; is free from defects; is available for sale or lease; is lawfully possessed by the advertiser; or is suitable for a particular User. Users must conduct their own due diligence.

26. THIRD-PARTY SERVICES AND LINKS

    1. The Platform may contain links to third-party websites, payment services, verification services or other external services. KeeHome does not control third-party services and is not responsible for their availability, accuracy, security, policies or performance. Use of third-party services may be subject to separate terms and privacy policies.

27. CONTENT RIGHTS

    1. Users retain ownership of Content they lawfully own and upload to the Platform. By uploading Content, the User grants KeeHome a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, format and distribute that Content as reasonably necessary to operate, promote and improve the Platform. The User represents that it has the necessary rights to grant this licence. KeeHome may remove Content that violates these Terms or applicable law.

28. INTELLECTUAL PROPERTY

    1. The Platform, including its software, design, branding, logos, graphics, text, functionality and other proprietary elements, is owned by or licensed to KeeHome. Except as expressly permitted by law or by KeeHome in writing, Users must not: copy; reproduce; modify; distribute; reverse engineer; sell; license; commercially exploit; or create derivative works from the Platform or its proprietary components.

    2. The KeeHome name, logo and associated marks may not be used without prior written permission.

29. PRIVACY AND PERSONAL DATA

    1. KeeHome may collect and process personal information necessary to provide, secure and improve the Platform. Such information may include identity information, contact details, account information, verification information, communications, device information and other information described in the Privacy Policy.

    2. KeeHome shall process personal data in accordance with applicable data-protection and privacy laws and its Privacy Policy.

    3. Users acknowledge that certain information may need to be processed or shared with service providers for purposes such as identity verification, hosting, security, customer support, communications and payment processing for KeeHome subscriptions.

    4. KeeHome may retain information for as long as reasonably necessary for the purposes described in its Privacy Policy, subject to applicable law. Users should review the Privacy Policy before using the Platform.

30. USER COMMUNICATIONS AND SAFETY

    1. Users are responsible for exercising reasonable caution when interacting with other Users. Users should independently verify identity, property ownership, authority, documents and other material information before making payments or entering into agreements.

    2. KeeHome does not guarantee the conduct, intentions or reliability of another User. KeeHome may take reasonable action against accounts suspected of fraud, abuse, impersonation or other prohibited conduct.

31. DISPUTES BETWEEN USERS

    1. Any dispute between Users, including disputes concerning: property ownership; title; brokerage; commission; price; rent; deposits; possession; representations; contracts; property defects; cancellation; financing; or transaction completion is a dispute between the relevant Users.

    2. KeeHome is not a party to such disputes and is not obligated to mediate, arbitrate or resolve them.

    3. Users should attempt to resolve such disputes directly and may obtain independent legal or professional advice. KeeHome may cooperate with lawful requests from courts, governmental authorities or law-enforcement agencies where required by applicable law.

32. TRANSACTION FAILURE

    1. KeeHome does not charge a transaction-based mediation or administrative fee merely because a transaction is initiated or fails. If a transaction fails because of: Seller/Landlord withdrawal; Buyer/Tenant financing failure; title defects; failed due diligence; disagreement over price; inability to obtain approvals; failure to execute documentation; or any other reason, KeeHome shall not be responsible for losses incurred by the parties, subject to rights and remedies that cannot lawfully be excluded.

    2. Any expenses incurred by Users in connection with a proposed transaction are the responsibility of the relevant Users unless otherwise agreed between them.

33. LIMITATION OF KEEHOME'S LIABILITY

    1. To the maximum extent permitted by applicable law, KeeHome shall not be liable for indirect, incidental, special, consequential, exemplary or punitive losses arising from: a property transaction; a failed transaction, inaccurate Listing information; title defects; property defects; fraud by another User; payment made to another User; breach of contract between Users; loss of expected profit; loss of business opportunity; loss of goodwill; or disputes between Users.

    2. KeeHome does not guarantee uninterrupted or error-free availability of the Platform. KeeHome does not guarantee that the Platform will meet every User's requirement. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law. Because KeeHome does not charge transaction-specific mediation or success fees, no transaction-specific mediation fee shall be used as the basis for calculating liability.

    3. Subject to applicable law, KeeHome's aggregate liability arising from a User's use of the Platform shall not exceed the amount actually paid by that User to KeeHome for the relevant Platform Subscription during the [six/twelve] months immediately preceding the event giving rise to the claim.

34. INDEMNIFICATION

    1. To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless KeeHome, its directors, officers, employees, affiliates, contractors and service providers from claims, losses, liabilities, damages, costs and expenses arising from or relating to: your breach of these Terms; your unlawful conduct; your Listing or Content; inaccurate or misleading information submitted by you; infringement of third-party rights; your property transaction; your dealings with another User; your failure to obtain required authority or permissions; fraud, misrepresentation or negligence by you; or violation of applicable law by you.

    2. This clause shall not require a User to indemnify KeeHome to the extent that such requirement is prohibited by applicable law.

35. SUSPENSION AND TERMINATION

    1. KeeHome may suspend, restrict or terminate a User's access where it reasonably believes that the User: has violated these Terms; has provided false information; has engaged in fraud; has abused another User; has violated applicable law; poses a security risk; or has otherwise misused the Platform.

    2. KeeHome may remove or disable Listings or Content without prior notice where reasonably necessary to protect Users, the Platform or comply with law. A User may stop using the Platform at any time. Termination shall not affect rights or obligations that accrued before termination.

36. MODIFICATION OF THE PLATFORM

    1. KeeHome may modify, suspend or discontinue any feature of the Platform from time to time. KeeHome may introduce new features, modify existing features or remove features were reasonably necessary for operational, commercial, security or legal reasons.

37. CHANGES TO THESE TERMS

2. KeeHome may update these Terms from time to time. Updated Terms shall be published on the Platform with an updated "Last Updated" date. Where required by applicable law, KeeHome shall provide appropriate notice of material changes. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms, subject to applicable law.

37. ELECTRONIC COMMUNICATIONS

    1. By using the Platform, you consent to receive electronic communications from KeeHome concerning: your account; verification; Listings; Platform services; Subscription Plans; security; customer support; and other service-related matters. Electronic records and communications may satisfy legal requirements for written communications to the extent permitted by applicable law.

38. GRIEVANCE REDRESSAL

    1. Users may raise complaints concerning the Platform through:

2. Complaints should contain sufficient information to enable KeeHome to identify the relevant account, Listing, transaction-related communication or issue. KeeHome shall process complaints in accordance with applicable law and its applicable policies.

3. Complaints concerning the conduct or obligations of another User may be outside KeeHome's ability to resolve. In such circumstances, KeeHome may provide appropriate information or assistance to the extent legally permissible.

39. DISPUTE RESOLUTION BETWEEN USER AND KEEHOME

    1. If you have a dispute with KeeHome, you should first contact KeeHome through the grievance/contact mechanism specified above and attempt to resolve the matter in good faith. If the dispute cannot be resolved through direct communication, it may be pursued before a competent legal forum in accordance with applicable law.

    2. Subject to mandatory rights available to consumers under applicable law, the courts at US, India shall have jurisdiction over disputes arising from or relating to these Terms.

40. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of US, subject to applicable mandatory provisions of law.

41. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

42. WAIVER

Failure by KeeHome to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

43. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Subscription Terms, Refund/Cancellation Policy and other policies expressly incorporated into these Terms, constitute the agreement governing your use of the Platform.

45. USER ACKNOWLEDGEMENT

By registering for or using KeeHome, you acknowledge and agree that: KeeHome is a communication and facilitation technology platform. KeeHome is not a party to your property transaction. KeeHome does not guarantee property ownership, title, measurements, approvals, quality or condition. KeeHome does not negotiate or execute property contracts on your behalf. KeeHome does not hold or escrow transaction funds. KeeHome does not charge a transaction-based mediation or success fee. You are responsible for conducting your own legal, financial and property due diligence. You are responsible for verifying the identity, authority and representations of other Users. Any property sale, purchase, lease or other transaction is directly between the relevant parties. You should obtain independent professional advice where appropriate.
